1. Acceptance of Terms

By accessing or using the Nonprofit Strategic Planner (the "Service"), located at www.nonprofitstrategicplanner.com, you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and David Harkins Company, LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

The Nonprofit Strategic Planner is a web-based guided strategic planning tool designed to assist small nonprofit organizations in developing strategic plans. The Service includes:

The Service is intended for use by nonprofit organizations and their leadership worldwide. Access requires a valid .org or .edu email address, or written authorization from the Company. While the Service is based in the United States, it is available to eligible organizations internationally.

3. Account Registration and Eligibility

To access most features of the Service, you must create an account using a valid .org or .edu email address. By registering, you represent that:

You are responsible for all activity that occurs under your account. Notify us immediately at hello@nonprofitstrategicplanner.com if you suspect unauthorized use.

4. Payment and No-Refund Policy

Phase 0 of the Service is available at no charge. Access to Phases 1–10 requires purchase of a paid plan. All prices are listed in U.S. dollars.

All purchases are final and non-refundable. By completing your purchase, you acknowledge that you have read the description of the Service, understand what you are purchasing, and agree that no refunds will be issued under any circumstances except as described below.

One-time purchases (Planner, Planner + Written Review, Planner + Live Session) are non-refundable once payment has been processed. This includes situations such as:

Advisory Retainer subscriptions require a minimum 3-month commitment and are billed monthly. You may cancel after the minimum term by providing 30 days written notice to hello@nonprofitstrategicplanner.com. No refunds or credits are issued for partial months or unused sessions.

Sole exception — verified billing errors: If you believe you were charged an incorrect amount due to a technical error on our end, you must notify us in writing at hello@nonprofitstrategicplanner.com within 7 days of the charge. We will investigate and, if a billing error is confirmed by us, issue a correction. This exception does not apply to dissatisfaction with the Service or its outputs.

Chargebacks: Initiating a chargeback or payment dispute with your financial institution for any reason other than confirmed unauthorized use of your payment method is a violation of these Terms and may result in immediate termination of your account and permanent ban from the Service.

International refund rights: If you are located in a jurisdiction that provides statutory refund or cancellation rights (such as the European Union's 14-day cooling-off period for digital services), those rights apply to the extent required by your local law, notwithstanding our general no-refund policy. We reserve the right to modify pricing at any time. Pricing changes will not affect purchases already completed.

5. AI Advisor — Important Limitations

The Service includes an AI-powered advisor feature that generates suggestions, feedback, and example content. You acknowledge and agree that:

6. No Professional Advice

The Service, including all content, frameworks, templates, AI outputs, and written review services, is provided for general informational and planning facilitation purposes only. Nothing in the Service constitutes:

7. Intellectual Property

Our content: The Service, including its design, methodology, prompts, frameworks, written guidance, and all related materials, is owned by David Harkins Company, LLC and protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without prior written permission.

Your content: You retain ownership of all strategic planning content you create using the Service. By using the Service, you grant the Company a limited, non-exclusive license to store and process your content solely for the purpose of providing the Service to you.

We will not use your organization's planning content for marketing, research, or any purpose other than delivering the Service without your explicit consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

David Harkins Company, LLC does not warrant that:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DAVID HARKINS COMPANY, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

We reserve the right to suspend or terminate your account at any time for violation of these Terms, for non-payment, or for any other reason at our sole discretion. You may also close your account at any time by contacting us.

Upon termination, your right to access the Service ends immediately. We will retain your data for 90 days following termination, after which it may be permanently deleted.

13. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and use personal information only as described in our Privacy Policy. We do not sell your personal information to third parties.

Users in the European Economic Area (EEA) and United Kingdom: We process your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable UK data protection law. Our lawful basis for processing is performance of contract (to deliver the Service) and legitimate interests. Data transfers: Your data may be stored and processed in the United States or other countries where our service providers operate. By using the Service, you consent to such transfers. We take appropriate measures to ensure your data is protected in accordance with these Terms.

The Service uses third-party services including Stripe (payment processing), Supabase (data storage), Resend (email delivery), and Anthropic (AI features). Your use of those features is also subject to the respective third-party terms of service. We are not responsible for the practices or content of third-party services.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States of America, without regard to its conflict of law provisions. By using the Service, you agree that any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, USA, and you consent to personal jurisdiction in those courts.

International users: The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with your local laws and regulations. We make no representation that the Service is appropriate or available in all countries.

European Union users: If you are a consumer located in the European Union, you may have additional rights under applicable EU consumer protection law, including certain cooling-off and refund rights that may supersede our no-refund policy where required by law. Nothing in these Terms is intended to limit rights you have under mandatory applicable law.

Informal resolution first: Before filing any legal claim, you agree to first contact us at hello@nonprofitstrategicplanner.com and allow 30 days for the Company to attempt to resolve the dispute informally.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and David Harkins Company, LLC regarding the Service and supersede all prior agreements, representations, and understandings.
